Terms of Service

Effective Date: March 7, 2026

1. Acceptance of Terms and Contractual Agreement

These Terms of Service ("Agreement") constitute a legally binding contract between you ("User," "you," or "your") and DineSensei ("Company," "we," "us," or "our"), governing your access to and use of the web-based software application located at dinesensei.com (the "Service").

By accessing, browsing, or utilizing the Service in any capacity, you expressly acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to all terms and conditions herein, you are strictly prohibited from using the Service and must discontinue access immediately.

2. Nature of the Service and Data Architecture

DineSensei provides an artificial intelligence-driven analytics interface for restaurant data. You acknowledge and agree to the following technical parameters of the Service:

  • Local Processing: The Service is designed to parse uploaded CSV files locally within your browser's volatile memory.
  • No Data Retention: We do not provide data storage, backup, or hosting for your proprietary business data. It is your sole responsibility to maintain backups of your original records.
  • Third-Party Processing: Aggregated, statistical summaries (not raw user data) are transmitted to third-party artificial intelligence providers (e.g., Microsoft Azure OpenAI) to generate analytical output ("Output").

3. User Obligations and Strict Prohibition on Sensitive Data

You are solely responsible for the legality, reliability, and appropriateness of any data you process through the Service. You expressly warrant and represent that you will strictly comply with the following:

  • Data Sanitization: You shall not upload, input, or process any file or prompt containing Personally Identifiable Information (PII), Protected Health Information (PHI), Payment Card Industry (PCI) data, or any sensitive consumer data regulated by the CCPA, GDPR, HIPAA, or other applicable privacy frameworks.
  • Anonymization: You affirmatively represent that all CSV files and datasets submitted to the Service have been thoroughly sanitized and anonymized prior to upload.
  • Consequences of Breach: You assume total and exclusive liability for any regulatory fines, legal claims, or damages resulting from your failure to redact sensitive personal data before utilizing the Service.

4. Artificial Intelligence Disclaimer and Assumption of Risk

The Service relies on generative artificial intelligence models which are inherently probabilistic and subject to error.

  • No Professional Advice: The Output generated by the Service is provided strictly for exploratory, informational, and operational reference. It does not constitute financial, legal, tax, accounting, or professional business advice.
  • "Hallucinations" and Accuracy: We make no representations or warranties regarding the factual accuracy, completeness, or reliability of any AI-generated Output. AI systems may produce inaccurate, anomalous, or fabricated information.
  • Assumption of Risk: You agree to independently verify all Output before relying upon it. Any business, financial, or operational decisions made based on the Service are made entirely at your own risk.

5. Intellectual Property Rights

  • Company IP: All rights, title, and interest in and to the Service, including its underlying source code, algorithms, prompt engineering, trade dress, and user interface, remain the exclusive property of DineSensei.
  • User Content: You retain all ownership rights to the underlying raw data you process using the Service. You are granted a limited, non-exclusive, non-transferable license to utilize the generated Output for your internal business operations.

6. Acceptable Use and Restrictions

You shall not:

  • Attempt to reverse engineer, decompile, or extract the source code or underlying AI prompts of the Service.
  • Utilize automated systems, bots, scrapers, or programmatic scripts to access the Service or extract data.
  • Circumvent any rate limits, security features, or usage restrictions implemented by the Service.
  • Use the Service in any manner that could disable, overburden, or impair our infrastructure or the infrastructure of our third-party API providers (e.g., SerpAPI, Google Places, Microsoft Azure).

7. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DINESENSEI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR DEVOID OF INACCURACIES.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DINESENSEI, ITS OWNERS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE LEGAL THEORY ASSERTED, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL DINESENSEI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATING TO THIS AGREEMENT EXCEED FIFTY U.S. DOLLARS ($50.00). YOU ACKNOWLEDGE AND AGREE THAT THIS LIMITATION OF LIABILITY IS A FUNDAMENTAL BASIS OF THE BARGAIN AND THAT DINESENSEI WOULD NOT BE ABLE TO PROVIDE THE SERVICE FOR FREE WITHOUT SUCH LIMITATIONS.

9. Indemnification

You agree to fully defend, indemnify, and hold harmless DineSensei, its owners, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable attorney's fees) arising from:

  • Your violation of any term of this Agreement.
  • Your use of, or reliance upon, the Service or any AI-generated Output.
  • Your processing of unredacted PII or sensitive data in violation of Section 3 of this Agreement.
  • Your violation of any applicable law, regulation, or third-party right.

10. Governing Law and Dispute Resolution

  • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.
  • Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in King County, Washington.
  • Class Action Waiver: YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND THAT YOU WILL NOT SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, A REPRESENTATIVE ACTION, OR A COLLECTIVE ACTION.

11. Severability and Entire Agreement

If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be severed, and the remainder of the Agreement will continue in full force and effect. This Agreement, along with our Privacy Policy, constitutes the entire understanding between you and DineSensei regarding the use of the Service.
